Goldman Sachs published a detailed scenario analysis on February 3, 2026, exploring potential transaction structures for a hypothetical merger between Rio Tinto (RIO.AX/RIO.L) and Glencore (GLEN.L). Under UK Takeover Panel rules, Rio Tinto must announce a firm offer by February 5, 2026, with a possible 28-day extension. The firm highlights that pursuing a major acquisition while simultaneously divesting non-core assets marks an unusual strategic shift for Rio Tinto.

Goldman Sachs hypothesizes a structure where Rio Tinto acquires Glencore via a mixed plc/ltd share offer. Following the acquisition, Glencore's non-core assets, including coal and Mount Isa, would be spun off into a separately listed DemergeCo on the ASX. Rio Tinto would retain a GrowthCo portfolio focused on Pilbara iron ore, copper, aluminum, lithium, and Glencore's South American copper assets.

A zero-premium merger would dilute Rio Tinto's earnings and net asset value per share. To achieve accretion, the transaction would require over $2 billion in annual pre-tax synergies. The GrowthCo's estimated 2026 EBITDA would be composed of 42% copper and 35% iron ore, while DemergeCo would be heavily weighted toward coal at 56%. The acquisition would effectively double Rio Tinto's copper production to approximately 1.7 million tons annually. However, thermal coal exposure may complicate the deal, as many Australian investors cannot hold companies with over 10% thermal coal revenue.
